These Terms of Service ("Terms") govern your use of the GrowthTrails website (growthtrails.in) and the GrowthTrails service. GrowthTrails is implemented and operated by CoderTrails Private Limited, a company incorporated in India with its office at Mulund West, Mumbai 400080, Maharashtra, India ("GrowthTrails", "we", "us").
"You" or "Customer" means the business that signs up for or uses the Service, and the person accepting these Terms on its behalf, who confirms they are authorised to bind that business. The Service is for business use only; it is not offered to consumers.
If you and we sign a separate order form or proposal, it forms part of these Terms. If they conflict, the signed order form wins for the matters it covers.
1. The Service
1.1 GrowthTrails provides software and done-with-you services to help businesses manage Google Business Profiles, WhatsApp and Instagram conversations, AI-assisted replies, workflows, campaigns, reporting and related features ("Service"), as described in your plan or order form.
1.2 Deliverables (for example, number of Google posts, workflows or campaigns per month) are those listed in your plan or order form. Unused monthly deliverables do not carry forward.
1.3 The Service uses third-party platforms, including Meta's WhatsApp Business Platform, Instagram, Google Business Profile, payment gateways and our technology providers. We may change or replace technology providers without reducing the Service you have paid for.
2. Accounts and access
2.1 You must give accurate information, keep login details confidential and tell us promptly about any unauthorised access.
2.2 Your WhatsApp Business Account, Meta Business portfolio and Google Business Profile remain in your business's name. You grant us the access needed to set up and manage them for the Service, and you may remove that access at any time (which may stop parts of the Service).
2.3 You are responsible for everything done through your users' accounts.
3. Plans, fees and payment
3.1 Fees are as stated on our Plans page or in your order form, in Indian Rupees and exclusive of GST and other applicable taxes.
3.2 Setup fee. A one-time setup fee is payable before work starts. It covers onboarding work and is non-refundable once kickoff has happened, except as stated in our Refund & Cancellation Policy.
3.3 Subscription. Subscriptions are billed in advance, monthly, quarterly or yearly. Monthly plans have a minimum term of 3 months.
3.4 Meta message fees. WhatsApp messages are charged by Meta per message according to Meta's published rates, which Meta may change. These fees are separate from our fees and are paid through a prepaid message wallet (or directly to Meta, depending on your setup). Wallet balances are non-refundable and cannot be withdrawn to a bank account. Sending stops when the wallet balance runs out.
3.5 Usage-based features. AI replies, voice minutes and other usage-based features include the allowance in your plan; extra usage is charged at the rates on our Plans page or in your order form.
3.6 Late payment. If an invoice is unpaid 7 days after its due date, we may suspend sending and the Service after notice. See section 11 on data deletion.
3.7 Price changes. We may change prices with at least 30 days' notice. Changes apply from your next renewal. Changes to Meta's or other third parties' fees apply when they take effect.
4. Your responsibilities
You agree to:
- (a) collect valid opt-in consent before sending WhatsApp messages to anyone, keep records of it, and honour opt-outs promptly;
- (b) follow the WhatsApp Business Messaging Policy, WhatsApp Business Terms, Meta Commerce Policy, Instagram and Google policies, and our Acceptable Use Policy;
- (c) comply with all laws that apply to you, including the Digital Personal Data Protection Act, 2023, consumer-protection, advertising, telecom and sector-specific rules (for example health or financial regulations);
- (d) make sure the content, offers, prices, images and information you provide are accurate, lawful and yours to use;
- (e) answer conversations handed over to your team within your business hours;
- (f) provide information we reasonably need (documents for Meta business verification, photos, approvals) on time. Timelines move if inputs are late.
As between us, you are the Data Fiduciary for your customers' personal data and we process it on your behalf as your Data Processor under our Privacy Policy.
5. Third-party platforms
5.1 Meta, Google and other platforms control their own approvals, policies, pricing, availability, messaging limits, quality ratings, verification badges and enforcement (including number restrictions or bans). We do not control them and are not responsible for their decisions, outages or changes.
5.2 We will help you follow platform rules and handle appeals where we can, but we cannot guarantee any outcome.
5.3 GrowthTrails is not affiliated with, sponsored or endorsed by Meta or Google. WhatsApp, Instagram and Meta are trademarks of Meta Platforms, Inc.; Google is a trademark of Google LLC.
6. AI features
AI-generated replies and content may be inaccurate or incomplete. You are responsible for reviewing the information your AI front desk is trained on, setting its instructions and deciding which topics require a human. Do not use AI features to give medical, legal or financial advice or to make decisions with legal effect on individuals. Customer conversations are not used to train shared AI models.
7. No guarantee of results
We commit to the activities and deliverables in your plan. We do not guarantee search rankings, number of reviews, leads, bookings, sales, message delivery or read rates, or approval of any template, verification or badge by Meta or Google.
8. Support and service levels
Support is provided on WhatsApp and email during business hours (Monday to Saturday, 10:00–19:00 IST, excluding public holidays) with the response times stated for your plan. We aim to keep the Service available at all times but do not promise uninterrupted service; planned maintenance and third-party outages may occur.
9. Intellectual property
9.1 We (and our licensors) own the Service, software, templates, workflows, designs and know-how we use or create in general form. You receive a non-exclusive, non-transferable right to use the Service during your subscription.
9.2 You own your content and data. You grant us a licence to use it only to provide the Service.
9.3 Content we create specifically for you (for example campaign copy or Google posts) may be used by you without restriction once paid for.
9.4 Feedback you give us may be used to improve the Service without obligation to you.
10. Confidentiality
Each party will keep the other's non-public business information confidential and use it only for this agreement, except where disclosure is required by law.
11. Term, cancellation and data
11.1 Your subscription renews automatically for the same period unless cancelled with at least 30 days' written notice before renewal (and not before the end of any minimum term).
11.2 We may suspend or end the Service immediately if you materially breach these Terms or the Acceptable Use Policy, if a platform requires it, or if your use creates legal or security risk.
11.3 Data after termination. You can request an export of your contacts and conversation history before your subscription ends. Your workspace data (including bots, workflows, contacts and logs) is permanently deleted 15 days after the subscription ends or is suspended for non-payment. We cannot restore it after that.
11.4 Sections that by their nature should survive (fees owed, confidentiality, liability, indemnity, governing law) survive termination.
12. Disclaimer
Except as expressly stated in these Terms, the Service is provided "as is" and "as available", and we disclaim all implied warranties to the extent permitted by law.
13. Limitation of liability
13.1 Neither party is liable for indirect, incidental, special or consequential losses, or loss of profit, revenue, goodwill or data, even if advised of the possibility.
13.2 Our total liability arising out of or relating to the Service in any 12-month period is limited to the fees you paid us in the 3 months before the event giving rise to the claim. Meta message fees and other pass-through charges are not counted.
13.3 Nothing limits liability that cannot be limited by law.
14. Indemnity
You will defend and indemnify us against third-party claims, penalties and costs arising from your content, your messaging practices (including messaging people without consent), your breach of these Terms or platform policies, or your violation of law.
15. Website use
When you only browse the Website: content is general information, not advice; do not misuse, scrape or disrupt the Website; and our liability for the Website alone is limited to INR 5,000.
16. Governing law and disputes
These Terms are governed by the laws of India. Before starting proceedings, the parties will try in good faith to resolve a dispute within 30 days of written notice. The courts at Mumbai, Maharashtra have exclusive jurisdiction.
17. General
We may update these Terms; material changes take effect 30 days after notice to customers. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. If any part is unenforceable, the rest remains in force. Failure to enforce is not a waiver. These Terms, your order form and the policies they reference are the entire agreement. English is the controlling language. Neither party is liable for delays caused by events beyond its reasonable control.
